1. Agreement to Terms

By downloading, installing, or using the Legato mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access or use the App.

These Terms constitute a legally binding agreement between you and ProximityLabs ("we," "us," or "our") concerning your use of the Legato App available on iOS and Android platforms.

2. Description of Service

Legato is a music practice companion application designed to help musicians organize practice sessions, track progress, and access various practice tools. The App is intended for educational purposes to support music learning and skill development.

2.1 Free Tier Features

All users have access to:

Basic practice session tracking
Activity management and scheduling
Progress monitoring and statistics
Basic performance metrics
Metronome (standalone use)
Drones (standalone use)
Audio recordings (standalone use)
PDF sheet music import and viewing (standalone use)

2.2 Premium Tier Features (LegatoPlus Subscription)

LegatoPlus subscribers gain seamless in-practice integration:

In-practice metronome (use metronome during active practice sessions)
In-practice drones (access drones without leaving practice mode)
In-practice audio recording (record while tracking practice time)
In-practice notes and annotations (add notes during practice)
In-practice PDFs (view sheet music while practicing)
Advanced practice analytics

Note: LegatoPlus provides seamless integration of tools within your practice workflow. The same tools are available for free outside of practice sessions, but LegatoPlus enables uninterrupted access during active practice.

3. Account Registration and Eligibility

3.1 Age Requirements

You must be at least 13 years old to use the App independently
Users under 13 may use the App only with parental or guardian consent and supervision
By using the App, you represent that you meet these age requirements

3.2 Account Responsibilities

You are responsible for maintaining the security of your device and app data
You are responsible for all activities that occur through your use of the App
You must provide accurate and complete information when required

4. Subscription Terms

4.1 Premium Subscription (LegatoPlus)

LegatoPlus features require an active subscription purchased through the Apple App Store or Google Play Store
LegatoPlus provides seamless integration of practice tools during active practice sessions
Subscription pricing and terms are displayed in the App and respective app stores
Subscriptions automatically renew unless cancelled according to app store policies

4.2 Billing and Renewal

Payment is processed through your app store account
Subscription fees are billed in advance on a recurring basis
You can manage or cancel subscriptions through your app store account settings
No refunds are provided except as required by applicable law or app store policies

4.3 Restore Purchases

Previously purchased subscriptions can be restored on the same platform (iOS or Android)
Cross-platform subscription transfers are subject to app store limitations

5. User Content and Responsibilities

5.1 Your Content

You retain all rights to content you create or import into the App, including:

Practice notes and observations
Audio recordings of practice sessions
Imported PDF sheet music files
Custom piece information, tags, and metadata

5.2 Content Responsibilities

You represent and warrant that:

You own or have the necessary rights to any content you import or create
Your use of copyrighted sheet music complies with applicable copyright laws
You have obtained necessary permissions for any audio recordings involving others
Your content does not violate any third-party rights

5.3 Copyright Compliance

You are solely responsible for ensuring you have legal rights to any sheet music you import
The App is a tool only; we do not verify the copyright status of imported materials
You agree to indemnify us against any claims arising from your use of copyrighted materials

6. Acceptable Use Policy

You agree NOT to:

Circumvent, disable, or interfere with premium feature restrictions
Attempt to access premium features without an active subscription
Use the App for any illegal or unauthorized purpose
Violate any laws in your jurisdiction, including copyright laws
Reverse engineer, decompile, or disassemble the App
Remove, alter, or obscure any proprietary notices
Use the App in any way that could damage or overburden our systems

7. Privacy and Data Storage

7.1 Local Data Storage

All your practice data, recordings, and imported files are stored locally on your device
We do not provide cloud backup services for your content
You are responsible for backing up your data through your device's backup systems

7.2 Data Loss

Data may be permanently lost if you uninstall the App or clear app data
We are not responsible for data loss due to device failure, app deletion, or other causes
We recommend regularly backing up important practice data

7.3 Privacy

Your use of the App is subject to our Privacy Policy, which is incorporated into these Terms by reference.

8. Device Permissions

The App requires certain device permissions to function properly:

8.1 Microphone Access

Required for tuner functionality and audio recording features
You consent to microphone use for legitimate music practice purposes only
You are responsible for complying with local laws regarding audio recording

8.2 Storage Access

Required for importing and managing PDF files and audio recordings
You grant permission to read and write files within designated app storage areas

9. Intellectual Property Rights

9.1 App Ownership

The App and its original content, features, and functionality are owned by ProximityLabs and are protected by international copyright, trademark, and other intellectual property laws.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.

9.3 Restrictions

You may not:

Copy, modify, or distribute the App
Create derivative works based on the App
Use the App for commercial purposes without our written consent
Use our trademarks without permission

10. Third-Party Services

10.1 App Stores

The App is distributed through Apple App Store and Google Play Store
Your use is also subject to the terms and policies of these platforms
We are not responsible for app store operations or policies

10.2 Analytics Services

We use Firebase Analytics and Crashlytics to improve the App. These services are governed by Google's terms and privacy policies.

11. Disclaimers

11.1 "As Is" Service

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11.2 No Professional Advice

The App is for educational and practice purposes only. It does not provide professional music instruction or replace qualified music teachers.

11.3 Accuracy

We do not guarantee the accuracy of tuner readings, metronome timing, or other technical features. These tools are provided for practice purposes and may not meet professional performance standards.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We are not liable for any indirect, incidental, special, consequential, or punitive damages
We are not liable for any loss of data, including practice records or imported content
Our total liability shall not exceed the amount you paid for the App in the past twelve months
These limitations apply regardless of the legal theory on which the claim is based

13. Indemnification

You agree to indemnify, defend, and hold harmless ProximityLabs and its agents from any claims, damages, losses, liabilities, costs, and expenses arising from:

Your violation of these Terms
Your violation of any third-party rights, including copyright
Your use or misuse of the App
Your content or activities in connection with the App

14. Termination

14.1 Termination by You

You may stop using the App at any time by uninstalling it from your device.

14.2 Termination by Us

We may terminate or suspend your access to the App immediately, without prior notice, for:

Violation of these Terms
Engagement in fraudulent or illegal activities
Actions that harm other users or our interests

14.3 Effect of Termination

Upon termination:

Your right to use the App ceases immediately
We have no obligation to maintain or provide access to your data
All provisions of these Terms that should reasonably survive termination will remain in effect

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes:

We will notify you through the App or via email
The updated Terms will include a new "Last Updated" date
Your continued use after changes constitutes acceptance of the modified Terms

16. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in England and Wales for resolution of any disputes.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ProximityLabs regarding the use of the Legato App and supersede all prior agreements and understandings.

19. Platform-Specific Terms

19.1 Apple App Store Additional Terms

Apple is not responsible for the App or its content
Apple has no obligation to provide maintenance or support services
Apple is not responsible for any product warranties
Apple is not responsible for addressing any claims relating to the App
Apple is a third-party beneficiary of these Terms with the right to enforce them

19.2 Google Play Store Additional Terms

These Terms are between you and ProximityLabs only, not Google
Google bears no responsibility for the App
Your use must comply with Google Play's Terms of Service
